Wholesale bills between businesses
A wholesale bill is a business-to-business document. The buyer is a retailer, a reseller or an institution that will use your bill in its own accounts and, if it is GST-registered, to claim input tax credit. That makes the wholesale bill format stricter than a shop bill: the buyer's business details and GSTIN, HSN codes, quantities in trade units, rates per unit, tax, transport details and payment terms all matter.
This wholesale bill generator gives traders, distributors and stockists a clear invoice with those fields, in a handwritten style that suits a traditional wholesale counter. It totals the invoice, applies trade discounts and GST, shows advances and balances, and writes the amount in words. Download it as a PDF on A4 for the buyer's accounts, or as an image to send on WhatsApp with the dispatch.
What is a wholesale invoice? (wholesale invoice meaning)
In plain terms, the wholesale invoice meaning is this: a wholesale invoice is the bill a wholesaler or distributor issues when selling goods in bulk to another business. It lists the goods, quantities, rates and taxes, and it is the buyer's proof of purchase and — for a registered buyer — the basis for claiming input tax credit. "Wholesale billing" simply means invoicing in this business-to-business way, usually on credit terms, as opposed to retail billing to consumers. (In telecom, "wholesale billing" means something else — billing between operators — which is unrelated.)
Wholesale invoice format
- Seller details: name, address, phone, GSTIN and state.
- Invoice details: invoice number (unique, consecutive, up to 16 characters), date, and place of supply.
- Buyer details ("Bill to"): business name, address, GSTIN and state; a separate "Ship to" if goods go elsewhere.
- Item lines: description, HSN code, quantity with trade unit (cartons, cases, bags, dozen), rate per unit, discount and taxable value.
- Tax: CGST + SGST for sales within the state, or IGST for sales to another state.
- Transport: transporter name, vehicle number, LR (lorry receipt) number and e-way bill number.
- Totals and terms: invoice total, amount in words, payment terms or due date, bank details, and authorised signature.
How to make a wholesale invoice
- Choose the wholesale template; it has fields for both GSTINs and transport details.
- Enter your firm's details in the header — saved in this browser.
- Add the buyer under the bill details: business name, address and GSTIN.
- Add items with HSN code in the description, trade unit, quantity and rate.
- Apply trade discount and tax in Bill settings — CGST and SGST, or one IGST row for inter-state sales.
- Fill transport details and terms, then download the PDF.
Wholesale invoice example
| Item (HSN) | Qty | Rate (₹) | Amount (₹) |
|---|---|---|---|
| Biscuits, 24 × 100 g carton (1905) | 40 ctn | 420 | 16,800 |
| Instant noodles, 48-pack case (1902) | 25 cases | 540 | 13,500 |
| Detergent powder 1 kg, 20-bag (3402) | 15 bags | 1,600 | 24,000 |
| Subtotal | 54,300 | ||
| Trade discount 2% | − 1,086 | ||
| Taxable value | 53,214 | ||
GST is then added at the rate for each product — and because these products may carry different rates, a real invoice shows the tax per line or as a summary by rate. HSN codes and rates here are for illustration; confirm the correct ones for your goods. As the value is above ₹50,000, an e-way bill would generally be needed to move these goods.
GST rules every wholesale bill must follow
- Tax invoice contents: GSTIN of seller and buyer, invoice number and date, description, HSN, quantity, taxable value, rate and amount of tax, place of supply, and signature.
- HSN digits: businesses with turnover up to ₹5 crore must show at least 4-digit HSN codes on B2B invoices; above ₹5 crore, 6 digits.
- E-invoicing: businesses with aggregate turnover above ₹5 crore must generate B2B invoices as e-invoices on the government's invoice registration portal (IRP), with an IRN and QR code. For them, a handwritten or self-made invoice is not a valid B2B tax invoice — use your e-invoicing system.
- E-way bill: generally needed when goods worth more than ₹50,000 are moved; states set their own rules for movement within the state.
- Composition dealers cannot charge GST and issue a bill of supply instead.
A handwritten wholesale bill is therefore suitable for businesses below the e-invoicing threshold, as long as it contains every detail the tax rules require. Rates and thresholds change; check them with your accountant.
Credit terms, payments and balances
Wholesale sales are usually on credit. Write the terms in the footer — "Payment within 30 days of invoice; interest @ 18% p.a. after due date" — and add your bank details or UPI ID. When a buyer pays part of the invoice upfront, enter it in the paid box so the balance is shown. For regular buyers, send a monthly statement listing invoice numbers, dates, amounts and payments. If the buyer is a micro or small enterprise, remember that the law expects payments to MSME suppliers within agreed limits (no more than 45 days with a written agreement), which buyers increasingly track.
Wholesale bill book vs. invoice templates
Many traders still keep a wholesale bill book with triplicate copies — original for buyer, duplicate for transporter, triplicate for the seller — as GST rules suggest for goods. The generator replaces the carbon: download the PDF and print it three times, or mark copies "Original for recipient", "Duplicate for transporter" and "Triplicate for supplier" with a note before each print. If you've been using a wholesale invoice template Excel file, this saves you the formula maintenance and works on a phone at the godown.
Trade discounts, schemes and free goods
Wholesale prices rarely stay at list rate. Distributors pass on trade discounts, quantity slabs ("5% off on 50 cartons"), cash discounts for prompt payment and manufacturer schemes with free goods ("10 + 1"). Show each clearly on the invoice. A trade discount given on the invoice reduces the taxable value, so apply it before tax — the generator's discount lines do this. Free goods under a scheme should appear on the invoice as items with their quantity and a zero or scheme value, so stock records at both ends match. A cash discount offered only if the buyer pays early is usually handled later through a credit note, not on the original invoice; ask your accountant how to treat it.
Credit notes and returns
When a buyer returns damaged or expired goods, or you give a rate difference after the sale, the correct document under GST is a credit note referring to the original invoice number, not an edited invoice. Make it here with the title changed to "Credit Note", the original invoice number and date in the details, and the returned items or the adjustment amount with tax. Keep the original invoice unchanged; your accounts should show both.
Proforma invoices before dispatch
Many buyers ask for a proforma invoice before they pay an advance or raise a purchase order. It looks like a wholesale invoice but is only a quotation — it carries no tax liability and the buyer cannot claim credit on it. Change the title to "Proforma Invoice", mark it "Not a tax invoice", and issue the actual tax invoice with a new number when the goods are dispatched.
Dispatch details that prevent disputes
- Write the number of packages ("40 cartons, 25 cases, 15 bags") so the buyer can check the delivery.
- Note the transporter and LR number; if goods go missing, it is the first thing asked.
- Write batch or lot numbers for goods with expiry dates.
- Mention "Freight paid" or "Freight to pay" so the buyer knows whether to pay the transporter.
Wholesale bill of sale — a different document
In the United States, a "wholesale bill of sale" usually refers to a vehicle dealer's document transferring a car to another dealer at wholesale. That is a vehicle transfer form, not a trade invoice; for private vehicle sales, see the bill of sale page.
Selling to unregistered shops
Many small retailers who buy from wholesalers are not GST-registered. Their invoice still needs your GSTIN, invoice number, items, HSN and tax, but without a buyer GSTIN; for inter-state sales above certain values, the buyer's name, address and state are required. The unregistered buyer cannot claim input tax credit, so they compare your rates with tax included. Showing the total including tax prominently helps them.
Who uses this wholesale bill generator
Small distributors and stockists below the e-invoicing threshold, traders in grain markets and mandis, garment and textile wholesalers, FMCG sub-distributors, students learning GST invoicing, and anyone preparing sample invoices for training or software testing.
Wholesale invoice checklist
Before you hand over or send the bill, a ten-second check catches most mistakes:
- Your GSTIN and the buyer’s GSTIN and state.
- HSN code with every item.
- Trade discount applied before tax.
- CGST + SGST or IGST, as the place of supply requires.
- Transporter, vehicle, LR and e-way bill numbers.
- Payment terms and bank details in the footer.
Related bill types
Retail shops buying from you bill their customers with the kirana store bill or supermarket bill; goods carriers bill freight with the transport bill; and building-material suppliers can use the hardware bill. All types are on the handwritten bill generator page.
Fair use
Issue wholesale invoices only for goods actually supplied. Invoices without real supply — to pass on input tax credit or inflate turnover — are a serious offence under GST law, with heavy penalties and prosecution. This tool is for genuine trade, training and design work only.
